Single-Member LLC Operating Agreement
The basic rules for a one-owner LLC: who owns it, how it is run, and how money is handled.
Good for: People who own a limited liability company by themselves and want its rules in writing.
Before you sign
- Your LLC must first be formed by filing with your state. This agreement does not form the LLC.
- Keep the LLC's money and your own money separate. Use a business bank account in the LLC's name.
- Keep the signed agreement with your LLC records. Banks often ask for it.
- If the LLC gets a second owner, this agreement will need to be replaced.
What this is not
These are standard forms for you to fill in, plus plain-language information. This is not legal advice and this site is not a law firm. We do not file anything for you or check your answers. Rules differ from state to state, so read the finished form before you sign it.
